This includes our KYB/EDD report automation, online research tools, and other related features (collectively referred to as the "Services"). All content, design, and functionality of the Services, including text, graphics, logos, and software, are the exclusive property of Accend Technology or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any part of the Services without the prior written consent of Accend Technology.
Accend Technology offers an advanced Know Your Business (KYB) and Enhanced Due Diligence (EDD) report automation service. This feature aims to simplify and expedite the traditionally manual and time-consuming process of drafting KYB and EDD reports. Once relevant data is gathered, the platform will generate comprehensive reports based on set parameters, preferences, and risk assessments. It's important to note that while our platform automates the report generation process, users retain the responsibility of ensuring data accuracy and adhering to regulatory standards.
Our Accend platform is also equipped with specialized online research tools designed to assist users in gathering essential information from various online sources. Tools may include web crawlers, data aggregators, and integrations with popular online databases such as Google Search, OpenCorp, LinkedIn, Crunchbase, and more. While our platform aids in streamlining the research process, it's crucial for users to verify the data obtained, as Accend Technology is not responsible for the accuracy or currentness of information sourced from third-party websites.
Accend Technology may terminate your access to the Services at any time, with or without cause, and without prior notice. You may also discontinue your use of the Services at any time. Upon termination, your right to access and use the Services will immediately cease, and any content or data associated with your account may be deleted.
The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Accend Technology disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement (only to the extent permitted by law), and any warranties arising out of course of dealing or usage of trade. Accend Technology does not warrant that the Services will be uninterrupted, secure, or error-free, or that any errors or defects will be corrected.
To the maximum extent permitted by law, in no event shall Accend Technology, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Accend Technology has been informed of the possibility of such damages.
In any case, Accend Technology's aggregate liability for all claims relating to the Services shall not exceed the amount paid by you to Accend Technology for the Services in the 12 months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Accend Technology, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
Furthermore, both parties agree to mutually indemnify, defend, and hold harmless each other from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising from (a) any claim by a third party that the use of the Services or the Platform infringes the intellectual property rights of that third party; or (b) any breach of Data Protection Legislation in relation to this Agreement. This mutual indemnification ensures that each party is protected against losses arising from these specified legal challenges.
These Terms and any disputes arising out of or in connection with these Terms or your use of the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Accend Technology is incorporated, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction to resolve any disputes arising out of or in connection with these Terms or your use of the Services.
Accend Technology reserves the right to modify these Terms at any time by updating this posting. You are responsible for reviewing these Terms periodically for any changes. Your continued use of the Services following the posting of changes to these Terms constitutes your acceptance of those changes.
These Terms constitute the entire agreement between you and Accend Technology with respect to the Services and supersede any prior agreements, communications, or understandings between you and Accend Technology. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable, and the remainder of these Terms shall remain in full force and effect. Any failure by Accend Technology to enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provision.
